PROOFREADNOW.COM'S AGREEMENT ON IDEAS,
INVENTIONS AND CONFIDENTIAL INFORMATION, AND LIABILITY LIMITATION
To ensure the privacy and confidentiality of documents
submitted by Customer for servicing, ProofreadNOW.com, Inc. agrees
to the following:
- Non-disclosure and Non-use
Both during and after contact with the Customer, Company will not
disclose or deliver to anyone, whether employed by the Company or
not, except as authorized by the Company, or use in any way other
than in the Company's business, any information or material related
to documents submitted for servicing by the Customer, including, without
limitation, information or material received by the Company from others
and intended by the Company to be kept in confidence. The Company
recognizes that much of, if not all, such information and material
does constitute trade secrets and valuable property of the Customer,
and is considered Confidential Information.
This Agreement covers all information contained in documents submitted
by the Customer.
- Liability for Breach
The Company acknowledges that this Agreement sets forth an enforceable
agreement on its part and that it is subject to immediate action by
the Customer for any breach of this Agreement and that such an action
will not relieve it from its continuing obligations under this Agreement
or from the imposition by a court of any judicial remedies, such as
money damages for, or an injunction against, such a breach.
- Liability for Errors, Additions and Omissions
In the event a document submitted for proofreading is returned with
errors, additions, or omissions, or any other changes that render
the document different from its original meanings, intentions, or uses,
and/or that result in material damage to the Customer, the Company
shall be liable for no more than the cost of the service rendered
to the Customer.
- Entire Agreement
This, combined with the 'Legal Notice & Disclaimer' elsewhere on
the Company's website, is the Customer's entire agreement with the
Company with respect to its subject matter, superseding any prior
negotiations and agreements. This Agreement may not be changed in
any respect except by a written agreement signed by an officer of
the Company. No waiver by the Customer of any of its rights under
this Agreement will be deemed to be a waiver of any other, prior,
or future right under it.
